KAJABI and FLY ON THE WALL MEMBERSHIP AGREEMENT
This Membership Agreement (“Agreement”) is made between:
Joy Short, Dyslexia Directions, LLC (“Provider”), the creator and operator of an online membership called “Fly on the Wall,” hosted via Kajabi (www.kajabi.com), and
(“Member”), the subscriber to the Program defined below.
By enrolling in the Program through Kajabi, the Member agrees to the following terms and conditions:
- Program Access
The Provider agrees to grant the Member access to a digital membership area hosted on Kajabi. This Program includes:
- Weekly content (listening in on calls with new families, observing tutoring, joining in on staff trainings, learning business tips and tricks specifically related to dyslexia)
- Access to members-only Kajabi portal
Access is contingent upon an active subscription and compliance with this Agreement.
- Membership Fee
- The Member agrees to pay $37 per month (or $27 for Founding Members), automatically billed through Kajabi’s integrated payment platform.
- All payments are final and non-refundable, unless otherwise required by law.
- Term and Termination
- This Agreement begins on the date of enrollment and continues until canceled.
- The Member may cancel via their Kajabi account dashboard at any time.
- The Provider may revoke access due to non-payment or breach of this Agreement.
- Content Ownership & Usage
- All content is owned by the Provider.
- The Member receives a limited, personal, non-transferable license to access the content within Kajabi and Zoom.
- No membership content may be shared, recorded or distributed without written permission from the Provider.
- Technology Requirements
The Member is responsible for securing their own internet connection and device to access the Kajabi platform. The Member is responsible for having access to Zoom on their personal device. The Provider is not liable for issues due to personal technical limitations.
- No Guarantee of Results
The Provider does not guarantee specific outcomes from participating in the Program. Individual results vary.
- Limitation of Liability
The Provider shall not be held liable for any indirect, incidental, or consequential damages resulting from use of the Program or platform.
- Privacy
The Provider respects the Member’s privacy. Personal information will only be used for account access, program delivery, and communication related to the Program. Information will not be sold or shared with third parties except as required for service or by law.
- Identity Verification Clause
By signing this Agreement and/or enrolling in the Program, the Member affirms that:
- They are providing accurate, complete, and truthful information;
- The identity used to enroll and access the Program is their own;
- They are not impersonating another individual or providing false information.
Any misrepresentation of identity may result in immediate termination of access without refund and may be reported to the appropriate authorities if fraud is suspected.
- Governing Law
This Agreement is governed by the laws of the states of South Carolina and Colorado.
- Entire Agreement
This Agreement represents the current understanding between the Provider and Member. Future updates may be posted within Kajabi, and continued use indicates acceptance of changes.
- Non-Solicitation Clause
The Member agrees not to solicit, market to, or attempt to acquire clients, customers, or business opportunities from other members of the Program whom they meet or interact with through the Kajabi platform, private community spaces, or related events except with written permission and approval from the Provider.
This restriction applies during the Member’s participation in the Program and for six (6) months following cancellation or termination.
Any violation of this clause may result in immediate removal from the Program without refund and potential legal action.
- Access to Content
From time to time, the Provider may offer physical business resources such as PDF fillable templates, contracts, assessment ideas, and other business aids that you can customize to your specific situation. To receive these physical resources:
- The Member must attend the designated Zoom event tied to that specific content release. If they miss the Zoom event, they can attend at a later date, sometimes this is two weeks later or sometimes it may be two months later depending on the nature of the event.
- Attendance must be live; watching a replay does not qualify for physical delivery.
- Physical materials will only be sent to Members who are active, in good standing, and who fulfill the attendance requirement.
- Minor Privacy & Confidentiality Clause
During the course of the Program, the Member may observe, hear about, or be exposed to content involving minors (children under the age of 18). This may occur during live Zoom events, email or community discussions, or in educational case studies or examples.
By enrolling in the Program, the Member agrees to the following:
- They will not disclose, share, record, or discuss any identifying information about any minor observed or mentioned during Program activities.
- They will treat all such information as strictly confidential, regardless of the format or context in which it is presented.
- The sharing of minor-related content outside the Program—verbally, digitally, or in writing—is strictly prohibited.
Failure to maintain the confidentiality of minor-related information may result in immediate termination from the Program and possible legal consequences.
- Colorado Residency Restriction
Due to compliance and privacy considerations, membership access is not available to individuals who reside in the state of Colorado. By enrolling in the Program, the Member affirms that they do not currently reside in Colorado, and that they will notify the Provider immediately if their residency status changes.
If it is determined that a Member resides in Colorado, the Provider reserves the right to immediately revoke access to the Program and issue a pro-rated refund (if applicable). This restriction is in place solely to protect and maintain privacy rights for the minor students that the Member may encounter while accessing this Program
- Non-Employee Acknowledgment
The Member understands and agrees that participation in this membership, including access to staff-related events, trainings, or discussions, does not establish an employment relationship of any kind with Dyslexia Directions, LLC or NOCO Dyslexia Center, LLC.
The Member acknowledges that they are not an employee, contractor, agent, or representative of either entity and will not present themselves as such. They are not entitled to wages, benefits, or any employment-related protections or responsibilities.
Participation in staff-related experiences is solely for educational or professional development purposes and does not imply affiliation or legal association beyond that of a Program Member.
- Media Release & Marketing Use
By joining this membership, the Member grants Dyslexia Directions, LLC and NOCO Dyslexia Center, LLC the right to record, use, reproduce, and publish any photos, video, or audio recordings that may include their image, voice, name, or likeness.
These materials may be used for marketing, advertising, social media, educational, or promotional purposes in print and digital formats, including but not limited to websites, online courses, and social media platforms. No financial compensation will be provided for the use of such materials.
The Member waives any right to inspect or approve the finished product and releases the companies from any claims or liability related to the use of these materials.
- Acknowledgment of Modified Use of the Barton Reading & Spelling System
Members understand that NOCO Dyslexia Center, LLC has developed and is utilizing a modified approach to the Barton Reading & Spelling System. As part of their membership, individuals may observe tutoring sessions or receive information that reflects this adaptation.
By participating, Members acknowledge that:
- They are aware this is a modified version of the original program as developed by Susan Barton of Bright Solutions, Inc.
- They are not required or expected to implement the modified approach.
• Should they choose to apply any elements of this approach, they recognize that they are not teaching the Barton System with full fidelity to its original design and methodology.
